§ 1. Recitals (the part where we acknowledge reality)
Whereas, the job looks like this.
a.Negotiation is where procurement cycles stall.
Ironclad's own guidance on the procurement cycle describes redlines ping-ponging between parties, nobody sure which version is current, and approvals waiting on someone who is out of office. Their cycle-time article adds that the delay lives in the gaps between stages, not in the stages themselves.

b.You're tracking process data in email threads and SharePoint folders.
Art of Procurement notes that ad hoc systems break down as procurement grows, and that the useful data is both what the contract says and how many redline rounds it took to get there. Neither survives in an inbox.

c.The tools built for this assume you have a legal department to run them.
Enterprise CLM is priced for organizations with dedicated contract managers and the budgets that come with them. Below that line, procurement got a shared drive and a prayer. Our pricing page has the comparison, with the prices we could find in writing.

This is not a paperwork problem
World Commerce & Contracting's research puts value lost to poor contracting at roughly 9% of annual revenue on average, with the best performers near 3% and the worst at 15% or more. Their 2025 whitepaper also finds contract data scattered across about 24 systems in a typical organization, and nearly 90% of business users saying contracts are hard or impossible to understand.
§ 2. What version90 does about it
Now, therefore: the same product, pointed at your desk.
01
Baselines and benchmarking
Pin your standard MSA and your standard DPA. Upload the vendor's draft and every deviation comes back cited to the clause: retention periods that doubled, a subprocessor notice that isn't there, an auto-renew with a notice window you'd never make.
02
Vendors keep Word and email
No vendor portal. Forward the vendor's email, or let them send to the tagged contract address directly and accept it before it becomes a version. Either way version90 detects their changes and comments and shows the requester, IT and security the same current version.
03
Every executed vendor agreement, extracted
Upload the signed history and get renewal dates, notice windows, data terms and caps per vendor, searchable. Agreements signed through version90 file themselves.
§ 3. Exhibit A
A vendor's SaaS agreement with its DPA attached, benchmarked against your standard DPA. Retention doubled, the subprocessor notice is missing, and the auto-renew has a 90-day window. Each flag cites the clause.

Retention is a blocker for us. 12 months or we walk.
Data retention doubled to 24 months DEVIATION
“Provider may retain Customer Data for up to twenty-four (24) months following termination.” (DPA §6.3)
Your standard DPA says 12 months. The vendor's draft doubles it and adds no deletion certificate.
Restore 12 months ✨ Explain implications
No subprocessor change notice NONSTANDARD
Your standard requires 30 days' notice of new subprocessors and a right to object. Nothing in this DPA provides either.
Insert standard clause
Auto-renews for 12 months, 90-day notice WATCH
Renewal will be tracked in the archive once executed. Notice window opens 90 days before term end.

§ 4. Consideration
One plan. $100/mo.
That's the pricing page.
The incumbents charge tens of thousands a year and make you sit through a demo to find that out. We put our price in a heading. Roughly 95% of the capability at roughly 5% of the price. The missing 5% is mostly the procurement paperwork.

Does the vendor have to use version90?
No. Vendors keep working exactly as they do today, in Word and over email. Forward what they send, or turn on external intake so a vendor can email the tagged contract directly and a member accepts it before it becomes a version. Either way version90 detects their changes and comments and keeps the current version straight on your side.
Can security and IT review without a seat?
There are no seats. Users are unlimited, so the requester, IT, security and finance can all be in the organization and look at the same version. Roles are owner, admin and member, and admins can limit what members do, such as sending a draft externally.
Can I load our existing vendor agreements?
Yes. Upload executed agreements as PDF or Word to the archive and extraction runs on each one: counterparty, term, renewal, notice period, data terms and caps, each linked to the clause it came from. Archive capacity and top-up rates are on the plan details page.
